Holland Casino is a foundation under government control which operates as a normal commercial company. The members of the Supervisory Board are appointed by the Minister of Finance. The members of the Executive Board are appointed by the Supervisory Board, subject to the approval of the Minister of Finance. The licence is granted by the Ministry of Justice, subject to certain terms and conditions. Holland Casino surrenders all its net profits to the State.
Government responsibility for Holland Casino is divided between the Ministry of Justice, which has policy responsibility (‘What is the policy framework within which Holland Casino must operate?’) and the Ministry of Finance, which has executive responsibility (‘How is this policy implemented in practice?’).
The Netherlands Code on Corporate Governance (the ‘Tabaksblat Code’) has now taken effect. The Code, which was published in 2003, applies to all public listed companies and gained force of law on 1 January 2005. Although Holland Casino is not a public listed company, it has opted to comply with the Tabaksblat Code. This decision is also in line with the wishes of the State Secretary for Finance.
